Terms & Conditions

  1. Definitions in these Conditions, unless the context requires otherwise:

1.1 ’Buyer’ means the person who buys or agrees to buy the Goods from the Seller;
1.2 ‘Conditions’ means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller;
1.3 ‘Delivery Date’ means the date specified by the Seller when the Goods are to be delivered;
1.4 ‘Goods’ means the articles which the Buyer agrees to buy from the Seller;
1.5 ‘Price’ means the price for the Goods excluding carriage, packing, insurance and VAT
1.6 ‘Seller’ means So Cosy Limited, 141 Lonsdale Road, Stevenage, Hertfordshire, SG1 5DF.

  1. Conditions applicable

2.1 These Conditions shall apply to all Contracts for the sale of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions including terms or conditions which the Buyer may purport to apply under any purchase order, confirmation of order or similar document.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Conditions.
2.3 Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.
2.4 Any variation to these Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.
2.5 Cancellation – The Seller will regard any orders as a firm commitment from the Buyer, whether received electronically or in hard copy. The Seller allows 7 days from the date of the order to receive cancellations without any further obligation. After this period, and until 12 weeks before the estimated delivery date, cancellations will only be accepted with the payment of a cancellation fee, which is 20% of the order value. Cancellations will not be accepted if less than 12 weeks’ notice is given before the estimated delivery date; full payment of the invoice will be payable in these circumstances.

  1. Price and Payment

3.1 Prices and availability of Goods are subject to change without notice. All Prices include sales tax where applicable for the UK, and, if otherwise (where there is no VAT charged, or at nil rate), no adjustment is made for a VAT equivalent amount on any shipments to sales in other tax jurisdictions. In the event that a sale is made to another tax jurisdiction, where VAT is not chargeable, nil rate or not applicable then the Price reflected will not include a reduction of the VAT, nor will a refund of this amount be given. A delivery charge will be added to your order value where appropriate.
3.2 VAT will not be charged on Goods exported to customers in the European Union and the rest of the world.
3.3 Payment of the Price and VAT shall be due within 14 days of the invoice date and Goods will not be dispatched until payment has been received.
3.4 Credit Accounts can only be opened by stockists after they have made 4 or more pro-forma orders.
3.5 Interest on overdue invoices shall accrue from the date when payment becomes due from day to day until the date of payment. Under the terms of the Late Payment Of Commercial Debts (Interest) Act 1998, the interest charged is calculated by taking the prevailing Bank of England base rate plus 8% and shall accrue at such rate after as well as before any judgment.
3.6 Business credit and debit card payments shall incur an additional 3.5% fee to cover bank charges.
3.7 Payment can be made via PayPal, card or bank transfer.
3.8 Only pre-approved credit accounts can choose to pay later. All balances must be cleared within 30 days of delivery. Credit payments should be paid via bank transfer.
3.9 For payments from overseas, all bank transaction costs associated with payment are to be borne by the Buyer.
3.10 Minimum spend per order must be over £500 to guarantee the Trade discount.

  1. Extra Charges and Duties for EU Purchases

4.1 So Cosy Limited is an IOSS (Import One-Stop Shop) registered seller. As members of the Import One-Stop Shop, the Seller aims to make the purchase of Goods from non-EU countries and the collection, declaration and payment of Value Added Tax (VAT) simpler for the Buyer.
4.2 All Goods purchased from the UK are now excluded from UK VAT. This means Prices for Goods (excluding P&P) will differ at checkout for EU customers.
4.3 IOSS registration, introduced on 1st July 2021, ensures all distance sales of imported goods comply with current VAT e-commerce obligations and the associated Buyer does not receive any ‘surprise fees’.
4.4 Previously, no import VAT would be paid on commercial goods up to the value of €22. As of the 1st July 2021 however, all Goods imported into an EU Member State from a third country or territory are subject to VAT regardless of their value.
4.5 If Goods purchased from the Seller are valued at no more than €150, VAT will be collected on the purchase price.
4.6 If Goods purchased from the Seller exceed €150, the Buyer will be responsible for the payment of tax and customs clearance fees as the Goods will be taxed at importation in the EU Member State.
4.7 If payment is not received or parcels are refused/rejected on delivery, please note, the P&P originally paid will not be reimbursed. The refund will be issued, minus the P&P, via your original payment method.
4.8 Information on the extra charges and duties applicable due to the United Kingdom’s departure from the European Union (EU) and the Seller’s IOSS registration will be communicated by the Seller in the Conditions, in the Delivery and Returns information found here, and at the point of sale via a pop-up window. To proceed with the purchase, the Buyer must acknowledge and agree to these Conditions.
4.9 If the Buyer has any concerns or queries regarding these extra charges and duties, please contact the Seller directly.

  1. The Goods

5.1 Sell our products at no cheaper than our RRP unless in sale or promotion.
5.2 If a stockist chooses to use our product photography, then they must credit the item as being a So Cosy product.
5.3 Rebranding of our products is strictly not permitted unless we have pre-approved.
5.4 You are not allowed to sell our Goods through any third-party platforms.

  1. Delivery of the Goods

6.1 Delivery of the Goods shall be made to the Buyer’s address on the Delivery Date. The Goods may be delivered in advance of the Delivery Date upon the giving of reasonable notice to the Buyer. The Buyer shall make all arrangements to take delivery of the Goods whenever they are tendered for delivery.
6.2 Delivery to the UK takes up to 3-5 working days. International shipments take up to 6-7 working days and European delivery takes up to 3-7 working days.
6.3 For all UK mainland orders, the carriage charge will be applied depending on the size of your parcel. For orders outside the UK mainland, please enquire.
6.4 We are not responsible for delays outside our control. If our supply of the Goods is delayed by an event outside our control, we will contact you as soon as possible to let you know and take steps to minimise the effect of the delay. Provided we do this, we will not be liable for delays caused by the event. If there is a risk of substantial delay, you may contact us to end the Contract and receive a refund for any Goods you have paid for but not received.
6.5 If no one is available at your address to take and sign for the delivery, we will leave you a card informing you of how to rearrange delivery to a suitable time. Cards can only be left where there is access to secure post boxes, therefore some deliveries to apartment buildings and shared accommodation will not receive delivery cards as a matter of security.
6.6 We are unable to redirect orders once they have been dispatched. If delivery proves impossible or impractical on 2 or more occasions, we may need to cancel your order and deduct the original delivery charges from the refund. We will however try to contact you, in this case, to arrange for a new order to be placed.
6.7 If after a failed delivery to you, you do not re-arrange delivery we will contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or rearrange delivery or collection we may end the Contract.
6.8 A product will be your responsibility from when we deliver the product to the address you gave us or you collect it from us using one of the services provided above. You own a product once we have received payment in full.

  1. Acceptance of the Goods

7.1 The Buyer shall be deemed to have accepted the Goods 24 hours after delivery to the Buyer.
7.2 After acceptance the Buyer shall not be entitled to reject Goods which are not in accordance with the Contract.
7.3 Please check it carefully for any wrong, faulty or missing products. Any faulty items must be flagged immediately to our attention and returned to us within 14 working days. Returned items will either be exchanged or a credit note will be issued excluding P&P.

  1. Returns

8.1 Please contact us before returning Goods.
8.2 Please return your item unused and in original condition (including all labels and tags intact) with proof of purchase within 14 days, and we’ll give you an exchange or refund as long as your returned product meets our terms and conditions.
8.3 Where you return an item purchased at an event or online, your refund will be issued by the original payment method or by bank transfer in the currency you paid.
8.4 P&P charges are non-refundable and you will be responsible for the items until they are returned and signed for by us. We suggest you use the Royal Mail Recorded Delivery service to return any items.
8.5 Goods sold on sale or during a sale event are non-refundable, regardless of whether they are unused, in original condition (with labels and tags intact), and/or returned with proof of purchase within 14 days of the original purchase. Sale items are strictly exchange only, unless faulty.
8.6 Where you return faulty and/or damaged Goods, you must do so within 14 days of purchase. (see 6.3)
8.7 Wholesales orders are not refundable except faulty goods and you have to inform us within 14 days.

8.9 Refunds for returned Goods will be processed within 5 to 7 business days of receipt. Once processed, it may take up to 5 working days for the funds to show in your account.
8.10 Please note, if you return products which are outside of our returns policy or do not have proof of purchase, we will be unable to process a refund.

  1. Proper law of Contract

9.1 This Contract is subject to the law of England and Wales.
